User Code of Conduct

This Code of Conduct applies to all users of the www.edugo.sg platform operated by 3 Gifted Minds Education Pte Ltd (“3GM”), including both Clients and Tutors (each a “User”). By using the platform, you acknowledge that you understand this Code of Conduct and agree to:

(a)   comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws and tax laws;

(b)   provide accurate information to 3GM and keep it updated;

(c)   use the services and the platform in a manner that is lawful, relevant and proper; and

(d)   follow the standards of conduct set out below.

Any use of the platform that 3GM, acting reasonably, finds to be inappropriate or offensive may result in the suspension or termination of your account, with or without notice.

You agree to abide by the following standards of conduct, and you agree that you will not authorise or facilitate any attempt by another person to:

  1.     Provide or accept tutoring services from any www.edugo.sg User in a manner that bypasses the www.edugo.sg platform.
  2.     Receive payments from Clients directly, or encourage or solicit payment from a Client directly or through any channel other than those made available via the www.edugo.sg platform, with the aim of bypassing the platform or avoiding fees owed to 3GM.
  3.     Disrupt or otherwise interfere with any other User’s access to and use of the services.
  4.     Transmit any User-generated comments, feedback or content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, offensive, obscene, lewd, lascivious or otherwise objectionable, as reasonably determined by 3GM.
  5.     Circumvent or manipulate the fee structure, billing process or fees owed to 3GM or a Tutor, or fail to deliver payment for services purchased.
  6.     Fail to deliver the tutoring services purchased or contracted.
  7.     Use any words, signs, symbols or language within the www.edugo.sg platform that 3GM, acting reasonably, deems offensive.
  8.     Post false, inaccurate, misleading, defamatory or libellous information, including personal data.
  9.     Post hateful, or racially or ethnically objectionable, User-generated content.
  10. Post User-generated content which infringes or violates, or uses without permission, any copyright, trademark or trade secret held by 3GM or a Tutor.
  11. Disclose any confidential information or personal data you may access or obtain from another User or in the course of using the www.edugo.sg platform.
  12. Advertise or offer to sell any goods or services for any commercial purpose through the www.edugo.sg platform that are not sanctioned by 3GM.
  13. Take any action that may undermine the feedback or ratings system, including spamming or creating false or misleading feedback.
  14. Harass, threaten or intentionally embarrass or cause distress to another User, person or entity in the use of the www.edugo.sg platform.
  15. Use another person’s personally identifiable information (such as their image, name, email address, identifying number or banking details) by pretending to be that person. Such matters will be referred to the authorities for action.
  16. Promote, solicit or participate in any multi-level marketing or pyramid scheme via the www.edugo.sg platform.
  17. Have any direct or indirect contact, communication or dealings with any child under 18 years of age that is not sanctioned by the child’s parent or guardian and that is not for the proper purpose of the tuition.
  18. Engage in disruptive or coercive activity, such as sending multiple messages in an effort to monopolise a position.
  19. Adapt, alter, license, sublicense or translate the contents of the platform or the services hosted on it for your own personal or commercial use.
  20. Introduce viruses, worms, Trojan horses or other harmful code to the www.edugo.sg platform.
  21. Obtain unauthorised access to any computer system through the www.edugo.sg platform.
  22. Transfer your www.edugo.sg account (including feedback) and login credentials to another party without 3GM’s prior consent.
  23. Harvest or otherwise collect information about Users, including email addresses and other personal data.
  24. Invade the privacy of any person, including by soliciting personal data or posting personally identifying or otherwise private information about a person.
  25. Violate any law or regulation.
  26. Encourage conduct that would constitute a criminal or civil offence.
  27. Use the services for any purpose other than the provision of education under the curriculum, regulations and guidelines of the Ministry of Education.
  28. Solicit the hiring of Tutors to complete assignments, write papers, take quizzes or otherwise do work on a Student’s behalf.
  29. Use the services for any purpose that violates the academic honesty or other conduct policies of any school, university, academic institution or examination body.
  30. Sell, resell, license, sublicense, distribute, rent, lease or otherwise provide access to the services to any third party except to the extent explicitly authorised in writing by 3GM.

3GM may take appropriate action for any breach of this Code of Conduct, including a warning, suspension or termination of access, forfeiture of fees, referral to the relevant authorities, and civil or other legal action.

User Privacy Policy

3 Gifted Minds Education Pte Ltd (“3GM”, “we”, “us” or “our”) operates the Edugo brand and the website www.edugo.sg. 3GM values the privacy of its users and treats personal information provided to it with confidentiality and respect. This Privacy Policy sets out how 3GM collects, uses, discloses and protects personal data when you access and use our website and services, in accordance with the Personal Data Protection Act 2012. By visiting and continuing to use www.edugo.sg, you consent to the use of your personal data in the manner described in this policy.

Confidentiality

3GM will not rent, sell or share any personal information about you with anyone except to provide the products or services you have requested, or as required by law. 3GM will not publicly reveal private information such as your NRIC, educational records, uploaded certifications, mobile number or home address, except where necessary to provide the services to the persons described below.

Client

A Client is a person who requests a tutor from 3GM. The information provided by the Client about the tuition (location, subject, lesson frequency and similar details) may be broadcast, after being edited, to our pool of Tutors to fulfil the search for a tutor. Only after the Assignment has been confirmed with a suitable Tutor who has accepted the job will 3GM reveal the Client’s full address and contact number. The Client is responsible for the accuracy of the contact information provided.

Where a Client provides personal data about a Student who is a minor, 3GM relies on the Client’s confirmation that the Client is the Student’s parent or guardian, or is otherwise authorised to provide that data and to consent to its use on the Student’s behalf.

Tutor

A Tutor is a suitably qualified person who has been screened and registered with 3GM for tuition assignments. General information relevant to assignments, such as a Tutor’s qualifications, gender, experience and other relevant details, may be revealed to Clients to facilitate selection. Personal information such as a Tutor’s contact number, full name or NRIC will not be revealed to Clients until the engagement is finalised and the first Lesson has been confirmed.

Computer Information

As a web-based platform, 3GM collects personal information when a Client or Tutor registers with us. 3GM may receive and record information in our server logs from your browser, including but not limited to your IP address, session ID, the pages you visited and the dates and times of those visits. This information may be used for research or to improve the user experience. Our website may also use cookies and similar technologies to operate the site and improve your experience, which you can control through your browser settings. If payment is made online, we rely on third party merchants’ security systems to ensure data security and connectivity to banks. We will never request your bank ID, password, codes or OTP to facilitate such transactions.

Marketing

We may periodically send promotional messages about new services, special offers or other information using the contact details you have provided. Every marketing message will include a way to opt out, and any telephone or SMS marketing will be sent in accordance with the Do Not Call provisions of the Personal Data Protection Act 2012. If you do not wish to receive marketing materials, you may opt out at any time. If you believe any information we hold about you is incorrect or incomplete, please write or email us as soon as possible and we will promptly correct it.

Data Retention

3GM retains personal data only for as long as it is needed for the purposes set out in this policy, or as required to comply with legal, accounting or reporting obligations. When personal data is no longer required, we will take reasonable steps to securely delete or anonymise it.

Service Providers

3GM may engage third-party service providers, for example hosting, messaging, payment and communication platforms, to process personal data on its behalf. Such providers are required to protect personal data and to use it only for the purposes for which they are engaged.

Transfer of Data Outside Singapore

Some of our service providers, and some of 3GM’s own systems, may store or process personal data on servers located outside Singapore. Where personal data is transferred outside Singapore, 3GM takes reasonable steps to ensure that it receives a standard of protection comparable to that under the Personal Data Protection Act 2012.

Data Breach Notification

In the event of a data breach that is likely to result in significant harm to affected individuals, or that meets the notification thresholds under the Personal Data Protection Act 2012, 3GM will notify the Personal Data Protection Commission and affected individuals as required by law, and will take steps to contain and remedy the breach.

Legal Disclaimer

Although we use best efforts to protect the privacy of our Clients and Tutors, where a legal authority requires 3GM to disclose personal information, 3GM will comply with the applicable law and regulations regarding such disclosure.

Data Access and Deletion Requests

You have the right to request access to, correction of, or deletion of your personal data. To exercise these rights, please follow the steps below:

Email request: send an email to our Data Protection Officer at 3gmedu@gmail.com, specifying the data concerned.

Verification: to protect your privacy and security, we will take reasonable steps to verify your identity before processing your request, which may involve asking for additional information.

Processing time: upon verification, we will process your request and, where applicable, delete the requested data within 30 days. You will receive a confirmation once the data has been deleted.

Limitations: some data may be exempt from deletion where it is required to comply with legal obligations, resolve disputes, or enforce our agreements.

Tutor Web Portal

Access to the Tutor Web Portal used by 3GM requires verification of a username and password. Upon successful access, the Tutor’s profile is shown. By accessing our system and registering as a Tutor, you agree to grant access to and display your Tutor information via this system. Tutors must keep their username and password confidential to prevent any possible misuse.

Questions and Complaints

If you have any questions or concerns about how we handle your personal data, please contact our Data Protection Officer at 3gmedu@gmail.com. If you are not satisfied with our response, you have the right to lodge a complaint with the Personal Data Protection Commission of Singapore.

Changes to this Privacy Policy

This policy may be updated from time to time. Where changes are material, we will take reasonable steps to bring them to your attention, and the updated policy will be posted at www.edugo.sg. If you have any questions about this policy, you may email us at 3gmedu@gmail.com.

Terms & Conditions for Clients

These Terms and Conditions (the “Terms”) govern the relationship between 3 Gifted Minds Education Pte Ltd (“3GM”, “we”, “us” or “our”), which operates the Edugo brand and the website www.edugo.sg (the “Platform”), and any person who engages a tutor through us (the “Client”, “you” or “your”). Please read them carefully.

1. Definitions

“Tutor” means a person registered with 3GM who provides tuition. “Student” means the person receiving tuition. “Assignment” means a tuition engagement arranged or facilitated by 3GM between a Client and a Tutor. “Lesson” means a single tuition session under an Assignment.

2. Consent on Collection, Usage and Disclosure of Personal Data

By submitting your personal details to 3GM through our tutor request form or any communication channel, you agree and consent that 3GM may, in accordance with the Personal Data Protection Act 2012, collect, use and disclose your personal data for the following purposes:

(a)   to contact you via any messaging platform or phone call regarding your tuition request;

(b)   for the administrative process of a tutor search;

(c)   to provide your details to the relevant Tutor upon confirmation of an Assignment; and

(d)   to send you tuition-related marketing messages by email or messaging platforms, including but not limited to SMS, WhatsApp and Telegram.

Marketing messages will include a means to opt out, and any telephone or SMS marketing will be sent in accordance with the Do Not Call provisions of the Personal Data Protection Act 2012. You may withdraw your consent at any time by emailing 3gmedu@gmail.com. Our Privacy Policy is available at www.edugo.sg and forms part of these Terms.

Where the Student is not the person submitting the request, the Client confirms that they are the Student’s parent or legal guardian, or are otherwise authorised to provide the Student’s personal data, and consents to the collection, use and disclosure of the Student’s personal data for these purposes on the Student’s behalf.

3. Acceptance of Terms

By engaging a Tutor through 3GM, you accept these Terms and our Privacy Policy. A tuition arrangement between a Client and a Tutor is formalised upon issuance of the invoice to the Client via WhatsApp, SMS or email, or when the Tutor has conducted the first Lesson, whichever is earlier.

4. Nature of 3GM’s Service

3GM acts as a coordinating agency that introduces Clients to Tutors. The tuition contract itself is between the Client and the Tutor. 3GM is not the employer or agent of any Tutor, does not supervise the conduct of Lessons, and is not a party to the tuition arrangement except as to its commission and the matters set out in these Terms. 3GM is not liable for the acts or omissions of any Tutor, subject to clause 15.

5. Payment and Commission

3GM’s services are free of charge to the Client. Upon completion of two weeks of Lessons, or as otherwise stated in the invoice, the Client is required to pay 50% of the first month’s total tuition fees, or as advised otherwise, to 3GM. This amount may be paid via interbank transfer or PayNow. The payment represents the commission due to 3GM for its services, levied on the Tutor’s first month’s tuition fees.

Subsequent payments may be made directly to the Tutor in a method and frequency agreed between the Client and the Tutor. All amounts payable to 3GM are exclusive of GST. Where 3GM is registered for GST, GST will be charged where the law requires.

Any additional tuition services, such as an additional subject or teaching of the Student’s siblings, must be disclosed to 3GM and will also incur commission.

6. Tutor Reassignment or Cancellation

If the Client is unsatisfied with the Tutor arranged, the Client should request a change of Tutor by the end of the second Lesson. The Client remains liable to pay for the Lessons conducted. As a general guideline, we suggest a commitment period of at least one month before deciding the tuition is unsuitable for the Student.

If the Client cancels the Assignment before the first four weeks of Lessons are completed, the Client remains liable to pay for all Lessons conducted. That amount is shared equally between 3GM and the Tutor. The Client may pay the Tutor directly or ask their coordinator to arrange the Tutor’s share on their behalf. Cancellations due to last minute emergencies may still incur cancellation costs chargeable to the Client, and each case will be considered independently.

If the Tutor cancels the Assignment before the first four weeks of Lessons are completed, the Lessons already carried out must still be paid for. 3GM will consider the reasons for the cancellation on a case-by-case basis to determine whether the Client is responsible for paying in full for the Lessons conducted. The Client agrees to respect and adhere to the final outcome decided by 3GM.

7. Trial Lesson

A Client may request a trial Lesson before formalising the Assignment, to help decide if the Tutor is a suitable match. A Client is allowed a maximum of two trial Lessons per Tutor. The fees for all trial Lessons shall be paid in full to 3GM before they commence. If the Client formalises the Assignment, the trial Lesson or Lessons count as the first and second Lessons as applicable. If the Client decides against formalising the Assignment, 3GM will inform the Tutor and assist in finding other suitable Tutors for the Client.

8. Postponement of the First or Second Lesson

If a postponement of the first or second Lesson is required, the Client must inform 3GM and the Tutor at least four hours before the Lesson. The Client may be liable to pay 50% of the first or second Lesson’s fees to compensate for the Tutor’s time and transport and for the service rendered by 3GM. This amount will be split equally between 3GM and the Tutor. 3GM acknowledges that cancellations may occur due to last minute emergencies and will consider each case independently before reaching an outcome.

9. Late Payment and Recovery Costs

Payment of the commission is due in accordance with clause 5. 3GM allows a grace period of one month from the due date. If payment is not received by the end of the grace period:

(a)   a late-payment administrative fee of $50 becomes payable;

(b)   interest accrues on the outstanding amount at 1.5% for each month, or part of a month, that it remains overdue after the grace period; and

(c)   if 3GM issues a formal letter of demand, a further administrative fee of $50 becomes payable.

3GM may also recover all reasonable costs of recovering the debt, including legal costs. These charges compensate 3GM for the administrative cost and delay of recovery, and are not intended as a penalty. 3GM will give the Client notice before applying any charge under this clause. Where a debt remains unpaid, 3GM may file a claim with the Small Claims Tribunals, where the claim is within its monetary and time limits, or commence other legal proceedings, and the Client may be liable for the costs of recovery to the extent permitted by law.

Example: a Client owes $150 in commission and does not pay during the one-month grace period. A $50 administrative fee then applies and interest of 1.5% per month begins to accrue on the $150. If 3GM issues a formal letter of demand and the Client pays about two months later, the amount due would be roughly $254.50: the original $150, two $50 administrative fees, and about $4.50 in interest.

10. Qualifications and Authentication of Tutor Profiles and Documents

A Client may request to see a Tutor’s academic certificates to verify their qualifications. 3GM will request these documents on behalf of the Client and share them where the Tutor agrees to do so. Alternatively, the Tutor may be asked to bring their academic certificates to the first Lesson for the Client to verify.

3GM operates internal systems to vet and filter Tutor documents to minimise the risk of false information being shared, but does not warrant the accuracy of information provided by Tutors and shall not be liable for false information provided by a Tutor, subject to clause 15. If a Client encounters a fraudulent Tutor, the Client must inform 3GM immediately, and 3GM will take appropriate action against the Tutor.

11. Tuition Schedule and Rates

The tuition schedule may be rearranged with the Tutor directly after the second Lesson has been carried out. The Client shall keep 3GM informed of any rescheduling of the first or second Lesson. Future tuition rates may be renegotiated once the Student has moved to a higher academic level. In such situations the change in rates shall be agreed between the Client and the Tutor, and 3GM shall not be responsible for any dispute after they have agreed.

12. Location of Tuition

Tuition will be carried out at the location provided by the Client unless otherwise arranged. The Client shall keep 3GM informed of any change in the location of the tuition. Tuition shall not be held in unsuitable or unauthorised locations such as fast food restaurants, libraries, open spaces or void decks.

13. Non-Circumvention, Collusion and Fraud

The Client shall not seek to engage a Tutor introduced by 3GM otherwise than through 3GM with the aim of avoiding the commission due to 3GM. Any attempt to avoid paying the commission due to 3GM shall be treated as dishonesty. 3GM does not tolerate fraudulent or unethical conduct. Where required, a police report may be made, and 3GM may take civil action to recover any monies lost as a result of such conduct.

14. Quality of Service

3GM does not guarantee that the tuition will result in any particular or noticeable improvement in academic grades. 3GM will strive to provide the most suitable Tutor based on the Client’s criteria. Once Lessons have been carried out, the Client is liable to pay tuition fees for Lessons attended by the Student, regardless of how satisfactory the Client considers the Lessons to be.

15. Disclaimer and Limitation of Liability

3GM will strive to achieve the most suitable match between a Client and a Tutor. 3GM may step in to help resolve conflicts but shall not be held liable for the acts, omissions, issues or disputes of any Client or Tutor. 3GM reserves the right to withhold information and to terminate or deny services to any party.

Nothing in these Terms excludes or limits 3GM’s liability for: (a) death or personal injury caused by its negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited under Singapore law.

Subject to the paragraph above, 3GM shall not be liable for any indirect or consequential loss, or for any loss of profit, revenue, opportunity or goodwill, whether or not foreseeable.

Subject to the carve-outs above, 3GM’s total aggregate liability to the Client under or in connection with these Terms shall not exceed the greater of (a) the total commission actually received by 3GM in respect of the relevant Assignment, and (b) S$1,000.

The Client acknowledges that these limitations are reasonable, taking into account that 3GM acts only as a coordinating agency that introduces Clients to Tutors, that its service is provided free of charge to the Client, and that the tuition contract itself is between the Client and the Tutor.

16. Amendment to Terms

3GM may amend these Terms from time to time. Updated Terms will be made available to Clients, and a Client’s continued engagement of a Tutor through 3GM after they are made available constitutes acceptance of the amended Terms.

17. Client’s Responsibility for the Lesson Environment

Where Lessons are conducted at the Client’s location, the Client is responsible for providing a safe and suitable environment for the Lesson and for any supervision the Client considers appropriate, particularly where the Student is a minor. 3GM does not supervise Lessons and is not responsible for the conduct of Lessons, subject to clause 15.

18. Force Majeure

Neither party is liable for any failure or delay in performing its obligations, other than an obligation to pay money, where the failure or delay is caused by events beyond its reasonable control.

19. Notices

Notices under these Terms may be given by email, WhatsApp or SMS to the contact details most recently provided by the recipient. A notice is deemed received on the day of sending if sent during business hours, and otherwise on the next business day.

20. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Singapore. The Client and 3GM submit to the exclusive jurisdiction of the courts of Singapore.

21. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between the Client and 3GM in respect of their subject matter. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any of their terms.

No failure or delay by 3GM in exercising any right under these Terms operates as a waiver of that right. 3GM may assign or transfer its rights and obligations under these Terms; the Client may not do so without 3GM’s prior written consent. Headings are for convenience only and do not affect interpretation. Clauses 13 (Non-Circumvention, Collusion and Fraud) and 15 (Disclaimer and Limitation of Liability) survive the end of any Assignment.

4. Relationship of the Parties

Nothing in these Terms creates an employment, agency, partnership or joint venture relationship between 3GM and the Tutor. The Tutor is engaged as an independent contractor. The Tutor is responsible for their own income tax and statutory contributions, and is not entitled to CPF contributions, leave or any other employee benefit from 3GM. The Tutor has no authority to bind 3GM or to incur any obligation on its behalf.

5. Registration

Any Tutor registering with 3GM shall be at least 18 years of age and, as a minimum, have attained an overall pass grade in their GCE O Level or equivalent examination.

6. Qualifications and Authentication of Tutor Profiles and Documents

A Tutor is required to provide true and accurate information about their academic qualifications and personal particulars. Clients may request proof of a Tutor’s academic qualifications, and 3GM may request supporting documents at any time. Where a Tutor intentionally deceives a Client or 3GM using fraudulent qualifications or personal particulars, 3GM may take any action set out in clause 22.

7. General Guidelines for Lesson Conduct

A Tutor shall at all times conduct themselves appropriately and in a professional and ethical manner. The following is a summary of the guidelines for Tutors. The full list is set out in our Code of Conduct, which forms part of these Terms.

  1.     Provide a Client with at least 48 hours of notice before cancelling or rescheduling a Lesson. In the event of an emergency, such as sudden sickness, proof such as a medical certificate must be secured and extended to the Client.
  2.     Be punctual. You should inform the Client if you may be late for a Lesson and make any necessary arrangements.
  3.     Do not physically or verbally abuse any Student or Client in the event of a disagreement.

8. Safeguarding of Students

The Tutor acknowledges that Students may be minors and that Lessons may take place one to one. The Tutor represents that there is no matter concerning them that would make it inappropriate or unsafe for them to tutor minors, and undertakes to conduct all Lessons in a safe, appropriate and professional manner. 3GM may request relevant declarations or documents to support this. The Tutor shall promptly inform 3GM of any incident or allegation arising in connection with a Student.

9. Commitment of Tutoring Period

Unless otherwise stated, a Tutor is expected to commit to an Assignment for at least 3 months. If a Tutor is unable to fulfil the commitment period due to special reasons or circumstances, the Tutor is required to inform 3GM to seek exemption approval, to avoid any misunderstanding and being removed from consideration for future Assignments.

An invoice will be issued upon confirmation of each Assignment. If a Tutor terminates an Assignment after an invoice has been issued but before completing four weeks of Lessons without a valid reason, the Tutor will be charged an administrative fee of $30 in addition to any commission due to 3GM. This fee reflects the administrative cost and the lost value of the placement to 3GM. 3GM acknowledges that in certain circumstances a Tutor may have to terminate an Assignment due to sudden situational changes or emergencies, and will consider each case independently before deciding an outcome. The Tutor agrees to respect and adhere to the final decision by 3GM.

On the first Lesson, a Tutor is also expected to make arrangements directly with the Client regarding any personal, payment or cancellation terms, subject to these Terms.

10. Payment and Commission

Upon completion of the first two weeks of Lessons, a Client is required to pay 50% of the first month’s total tuition fees, or as advised otherwise, to 3GM. This amount may be paid via interbank transfer or PayNow. The payment represents the commission due to 3GM for its services, levied on the Tutor’s first month’s tuition fees.

Subsequent payments may be made directly to the Tutor in a method and frequency agreed between the Client and the Tutor. All amounts payable under these Terms are exclusive of GST. Where 3GM is registered for GST, GST will be charged where the law requires.

Where a Client is unwilling or unable to transfer the 50% commission directly, 3GM may require the Tutor to collect it on 3GM’s behalf and to remit it to 3GM at the earliest opportunity.

11. Commission Amount

3GM levies a one-time commission of 50% on the first month’s tuition fees, levied on the Tutor and ordinarily collected directly from the Client by 3GM. Any additional tuition services, such as an additional subject, add-on classes, or teaching of the Student’s siblings, must be disclosed to 3GM and will also be liable for commission.

12. Trial Lesson

A Client may request a trial Lesson before formalising the Assignment, to help the Client decide if the Tutor is a suitable match for the Student. A Client is allowed a maximum of two trial Lessons per Tutor. The fees for all trial Lessons shall be paid in full to 3GM before the trial Lesson or Lessons commence. If the Client decides to formalise the Assignment, the trial Lesson or Lessons shall count as the first and second Lessons as applicable. If the Client decides against formalising the Assignment, 3GM will inform the Tutor and pay the Tutor 50% of the trial Lesson fees, with the remaining 50% retained by 3GM as its commission.

13. Tutor Cancellation by the Client

A Client may request a change of Tutor at any time. If an Assignment is cancelled or amended by the Client within the first four weeks of Lessons, the Client remains liable to pay for all Lessons conducted, and 3GM will levy its 50% commission on those Lessons, with the balance paid to the Tutor.

In some instances a Tutor may also be required to forgo their share of the tuition fees. The following non-exhaustive list sets out some such instances:

  1.     Cancellation of an Assignment by the Tutor without a valid reason.
  2.     Failure to carry out the Assignment to a reasonable standard.
  3.     Falsehood or inaccuracy in the information provided in the Tutor’s profile.
  4.     Inability to provide supporting documents for information listed in the Tutor’s profile, for example academic certificates.

3GM will consider the facts and circumstances of each case in detail. As the coordinating agency, 3GM reserves the right to make the final decision on the outcome.

14. Tuition Schedule

The tuition schedule may be rearranged with the Client directly after the second Lesson has been carried out. The Tutor shall keep 3GM informed of any rescheduling of the first or second Lesson.

15. Tuition Rates

The tuition rates agreed between the Tutor and the Client shall not be amended after the invoice has been issued. A Tutor may propose a change in rate only when a Student has advanced to the next academic level in the following academic year. In such cases the change shall be agreed between the Client and the Tutor, and 3GM shall not be responsible for any dispute after they have agreed.

16. Postponement of Lessons

If a postponement of a Lesson is required, the Tutor shall use their best efforts to inform the Client at least 48 hours before the Lesson. In an emergency, such as sudden sickness, the Tutor should take the initiative to provide proof such as a medical certificate. A Tutor may only reschedule a missed Lesson after conferring with the Client and obtaining their agreement.

If a postponement of the first or second Lesson is required, the party seeking the postponement must inform 3GM and the other party at least four hours before the Lesson. A Client may be liable to pay 50% of the first or second Lesson’s fees to compensate for the Tutor’s time and transport and for the service rendered by 3GM. This amount will be split equally between 3GM and the Tutor. 3GM acknowledges that cancellations may occur due to last minute emergencies and will consider each case independently.

For postponement of subsequent Lessons, the Tutor is to discuss cancellation policies directly with the Client and seek recourse directly with the Client. 3GM shall not be responsible for any matter between a Tutor and a Client regarding the Tutor’s own policy.

17. Location of Lessons

Tuition will be carried out at the location provided by the Client unless otherwise arranged. The Tutor shall keep 3GM informed of any change in the location of the tuition. Lessons shall not be held in unsuitable or unauthorised locations such as fast food restaurants, libraries, open spaces or void decks.

18. Confidentiality and Protection of Client Data

Client and Student personal data disclosed to the Tutor is provided solely to enable the Tutor to conduct the relevant Assignment. The Tutor shall keep such data confidential, use it only for that purpose, comply with the Personal Data Protection Act 2012, not disclose it to any third party, and securely delete or return it on completion or termination of the Assignment. This clause survives termination of the Assignment.

19. Introduction Commission and Non-Circumvention

3GM’s role is to introduce Tutors to Clients. The commission described in clauses 10 and 11 is the fee for that introduction and is the principal way 3GM is paid for its service. This clause protects 3GM’s legitimate interest in being paid the commission for the introductions it makes.

If, within twelve (12) months of 3GM introducing a Tutor to a Client, the Tutor provides tuition or related services to that Client, the Student, or any member of the Student’s household, the Tutor must ensure that the engagement is arranged through 3GM and that the applicable commission is paid to 3GM. This applies whether or not the engagement was formalised through 3GM, and whether or not the Tutor was subsequently contacted directly by the Client. Any additional subject, additional student, sibling tuition or extended engagement with such a Client must be disclosed to 3GM and is subject to commission.

The Tutor shall not, directly or indirectly, arrange or structure any engagement with the aim of avoiding the commission due to 3GM. If the Tutor provides tuition in breach of this clause, the Tutor shall pay 3GM a sum equal to the commission that would have been due, recoverable as a debt, in addition to any other remedy available to 3GM.

This clause is intended only to protect 3GM’s legitimate interest in the introductions it facilitates. If any part of it is found by a court to be wider than is reasonable, it shall apply with the minimum modification necessary to make it enforceable, and the remainder shall continue in full force.

20. Collusion and Fraud

Any attempt to avoid paying the commission due to 3GM shall be treated as dishonesty. 3GM does not tolerate fraudulent or unethical conduct. Where required, a police report may be made, and 3GM may take civil action to recover any monies lost as a result of such conduct.

21. Tutor’s Indemnity

The Tutor shall indemnify and keep indemnified 3GM against all claims, losses, liabilities, costs and expenses arising from (a) the Tutor’s breach of these Terms, (b) any inaccurate, misleading or fraudulent information provided by the Tutor, (c) the Tutor’s acts or omissions during or in connection with any Lesson, including any act or omission affecting a Student or Client, (d) any breach by the Tutor of any data protection obligation, and (e) any claim brought by the Tutor or any authority that the Tutor is or was an employee of 3GM, including any related tax, CPF or other statutory contribution.

22. Disclaimer and Limitation of Liability

3GM will strive to achieve the most suitable match between a Client and a Tutor. 3GM may step in to help resolve conflicts but shall not be held liable for the acts, omissions, issues or disputes of any Client or Tutor. 3GM reserves the right to withhold information and to terminate or deny services to any party.

Nothing in these Terms excludes or limits 3GM’s liability for: (a) death or personal injury caused by its negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited under Singapore law.

Subject to the paragraph above, 3GM shall not be liable for any indirect or consequential loss, or for any loss of profit, revenue, opportunity or goodwill, whether or not foreseeable.

Subject to the carve-outs above, 3GM’s total aggregate liability to the Tutor under or in connection with these Terms shall not exceed the greater of (a) the total commission actually received by 3GM in respect of the relevant Assignment, and (b) S$1,000.

The Tutor acknowledges that these limitations are reasonable, taking into account that 3GM acts only as a coordinating agency, the commission-based nature of its service, and that each party is responsible for arranging its own insurance.

Where a Tutor breaches these Terms, 3GM may take one or more of the following actions, depending on the circumstances: issue a warning, remove the Tutor from current or future Assignments, withhold or require forfeiture of fees, recover commission or losses due, and decline to offer further Assignments. Any record kept by 3GM of a Tutor’s conduct will be factual.

23. Amendment to Terms

3GM may amend these Terms from time to time. Updated Terms will be made available to Tutors, and a Tutor’s continued registration or acceptance of any Assignment after they are made available constitutes acceptance of the amended Terms.

24. Force Majeure

Neither party is liable for any failure or delay in performing its obligations, other than an obligation to pay money, where the failure or delay is caused by events beyond its reasonable control.

25. Notices

Notices under these Terms may be given by email, WhatsApp or SMS to the contact details most recently provided by the recipient. A notice is deemed received on the day of sending if sent during business hours, and otherwise on the next business day.

26. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Singapore. The Tutor and 3GM submit to the exclusive jurisdiction of the courts of Singapore.

27. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force. These Terms, together with the Privacy Policy and Code of Conduct, constitute the entire agreement between the Tutor and 3GM in respect of their subject matter. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any of their terms.

3GM may end a Tutor’s registration, and a Tutor may end their registration with 3GM, by notice to the other. Termination does not affect any rights or obligations that have already accrued, including any commission due to 3GM. Clauses 18 (Confidentiality and Protection of Client Data), 19 (Introduction Commission and Non-Circumvention), 21 (Tutor’s Indemnity) and 22 (Disclaimer and Limitation of Liability) survive termination.

No failure or delay by 3GM in exercising any right under these Terms operates as a waiver of that right. 3GM may assign or transfer its rights and obligations under these Terms; the Tutor may not do so without 3GM’s prior written consent. Headings are for convenience only and do not affect interpretation.
